Markel Insurance and Enstar agree reinsurance deal covering $4.8 bn in reserves
  • Markel Insurance and Enstar have agreed an adverse development cover (ADC) reinsurance transaction involving $4.8 bn in reserves from discontinued insurance and reinsurance operations.
  • Markel will retain the first $2.6 bn of reserves and retrocede the next $2.3 bn to Enstar, securing $1.2 bn in adverse loss development protection for a $120 mn risk premium.
  • The transaction, expected to close in the fourth quarter of 2026, will provide greater certainty around legacy liabilities while Markel concentrates on its core specialty insurance business.

Markel Insurance, the insurance operations of Markel Group (NYSE: MKL), has entered into an adverse development cover (ADC) reinsurance agreement with Enstar covering $4.8 bn in reserves associated with its run-off global reinsurance portfolio and certain discontinued insurance lines.

Under the agreement, Markel will retain the first $2.6 bn of reserves and retrocede the next $2.3 bn to Enstar. The arrangement will also provide $1.2 bn in adverse loss development protection above the $4.8 bn of subject reserves.

Markel will pay Enstar a $120 mn risk premium for the coverage.

The transaction remains subject to regulatory approval and customary closing conditions, with completion expected by the end of the fourth quarter of 2026.

Markel transfers legacy reinsurance risk to Enstar

The agreement covers liabilities from the 2025 and prior underwriting years within Markel’s Global Reinsurance division, alongside discontinued risk-managed professional liability, architects and engineers, and other run-off insurance lines.

Markel will retain control over claims handling under the arrangement.

The coverage will be provided through Cavello Bay Reinsurance Limited, Enstar’s wholly owned reinsurance subsidiary, which carries an ‘A’ financial strength rating from S&P.

Markel said the additional protection against adverse reserve development reduces the level of prudence management requires when estimating ultimate losses.

As a result, the company expects the net effects of the transaction to have an immaterial impact on fourth-quarter underwriting results.

Markel strengthens focus on specialty insurance operations

The agreement supports Markel’s efforts to manage liabilities associated with discontinued business while directing resources toward its continuing specialty insurance operations.

This transaction provides additional certainty as these liabilities continue to run off and allows us to continue our focus on growing our core specialty insurance business.
