The Vistria Group, a Chicago-based private equity firm that integrates financial performance with measurable social impact, acquired Lumen Holdings, a Dallas-based managing general agent underwriting commercial and personal lines across more than 30 states. Financial terms were not disclosed.
The platform operates within the specialty MGA segment, a market private equity investors continue to target as carriers reassess distribution strategies.
- Founded in 2013 by Kip Kirkpatrick and Marty Nesbitt, Vistria Group invests in middle-market companies across healthcare, education, financial services, housing, and real estate to generate market-leading returns while improving societal outcomes. The firm manages more than $17 bn in assets under management (AUM) as of 2025.
- Founded in 2019 and led by founder and CEO Scott Whitaker, Lumen writes commercial property, builders’ risk, commercial general liability, personal auto, homeowners, and umbrella coverage.
Boris Rapoport, senior partner and co-head of financial services at Vistria, stated the investment aligns with the firm’s focus on regulated financial services markets where underwriting expertise and operational infrastructure determine performance.
He pointed to structural shifts in the specialty MGA space as carriers seek underwriting partners with data-driven systems and established distribution networks.
Following the transaction, Vistria will add Albert Benchimol, former CEO of Axis Capital; Mark Smith, former president of K2 Insurance Services; and Brian McDermott, former CIO of Victor Insurance, to Lumen’s board.
The additions bring senior leadership experience across specialty underwriting, MGA scaling, and insurance technology infrastructure.
Piper Sandler & Co. advised Lumen as exclusive financial advisor, with Choate Hall & Stewart LLP serving as legal counsel. MarshBerry advised Vistria, and Winston & Strawn LLP acted as legal counsel.
According to Beinsure analysts, specialty MGAs continue to attract private equity capital as carriers increasingly outsource niche underwriting to focused platforms with technology-enabled operations.
The acquisition positions Vistria deeper within the delegated authority insurance segment as competition intensifies across specialty lines.
