Fairfax will transfer Go Digit Insurance and Go Digit Life Insurance stakes to IDBI Bank

Fairfax plans to transfer Go Digit Insurance and IIFL Capital stakes to IDBI Bank
  • Fairfax Financial proposes transferring its entire interests in Go Digit General Insurance and Go Digit Life Insurance to IDBI Bank, while Fairfax India plans to transfer its IIFL Capital Services stake.
  • The proposals follow Fairfax’s selection as strategic buyer for a 60.72% stake in IDBI Bank, valued at ₹528.78 bn ($5.6 bn), with regulatory approvals still required.
  • A separate Go Digit restructuring could increase Fairfax’s direct ownership to 57.28% on a fully diluted basis, according to CRISIL estimates.

Fairfax Financial Holdings has proposed transferring its entire interests in Go Digit General Insurance and Go Digit Life Insurance to IDBI Bank, following its selection as the strategic buyer for a controlling stake in the Indian lender.

Separately, Fairfax India Holdings plans to transfer its full investment in IIFL Capital Services to IDBI Bank, potentially creating an integrated financial services group combining banking, insurance, investment banking and wealth management.

In October, Fairfax Financial Holdings to acquire 60.72% of IDBI Bank for $5.6 bn in India. The proposals follow the Indian government’s decision to select a wholly owned Fairfax subsidiary to acquire a 60.72% stake in IDBI Bank for approximately ₹528.78 bn ($5.6 bn), equivalent to ₹81 per share.

Fairfax said the proposed transfers would be executed at the respective market values of the holdings and remain subject to applicable laws and regulatory approvals.

Both transactions require clearance from the Reserve Bank of India (RBI), the Securities and Exchange Board of India (SEBI) and other relevant authorities. The transfer of Go Digit insurance interests also requires approval from the Insurance Regulatory and Development Authority of India (IRDAI).

Fairfax chairman and CEO Prem Watsa said the proposed structure would allow IDBI Bank to distribute insurance products through Digit while offering investment banking and wealth management services through IIFL Capital.

Go Digit CEO Kamesh Goyal said the proposed combination could substantially expand the insurer’s distribution network.

We are very excited about the prospect of combining Digit with IDBI Bank as it would significantly strengthen Digit’s distribution footprint, allowing us to continue our growth and service offerings for the benefit of all Indians.

Kamesh Goyal, Go Digit CEO

Fairfax has been an investor in Go Digit since the insurtech company’s early development, holding its interests through its wholly owned subsidiary FAL Corporation.

The investment structure also involves Goyal and his investment entity, Oben Ventures LLP, with their holdings routed through Go Digit Infoworks Services Pvt Ltd (GDISPL), the insurer’s holding company.

According to Go Digit’s initial public offering documents, FAL Corporation held 45.25% of GDISPL’s equity capital, while Goyal owned 14.96% and Oben Ventures held 39.79%.

Go Digit listed on Indian stock exchanges in May 2024, raising ₹11.25 bn through a fresh share issue. As of June 30, 2026, GDISPL controlled 72.98% of the listed general insurer.

Fairfax’s broader promoter group includes FAL Corporation, Fairfax Asia Ltd, Fairfax Financial Holdings Ltd, FFHL Group, Falcon Insurance Public Company Ltd and Fairfax (Barbados) International Corp.

A separate corporate restructuring could alter Fairfax’s ownership position before the proposed transfer to IDBI.

In December 2025, Go Digit’s board approved a scheme to merge GDISPL into the listed general insurance company. Under the arrangement, GDISPL would be dissolved without liquidation, making Fairfax, Goyal and Oben Ventures direct shareholders.

Credit rating agency CRISIL estimated in June that Fairfax’s ownership could increase to 57.28% on a fully diluted basis following the merger, accounting for its equity and compulsorily convertible preference shares in GDISPL.

Goyal and Oben Ventures’ combined holding would decline to 14.92%.

The Competition Commission of India approved the proposed amalgamation on July 28, 2026. That restructuring remains distinct from Fairfax’s proposed transfer of its Digit holdings to IDBI Bank.

Completion of the broader transaction would place Fairfax’s Indian insurance investments within a banking-led financial services structure, giving Go Digit access to IDBI’s distribution network while expanding the lender’s insurance and investment services capabilities.
