Hlpy raises €20 mn and acquires 100% of Carvoilà in European expansion

Hlpy, the Italian scale-up providing vehicle and mobility assistance across Europe through a fully digital, AI-driven platform, has raised €20 mn and acquired 100% of vehicle logistics specialist Carvoilà. The transactions expand Hlpy’s operations across the automotive services chain as the company builds a broader pan-European vehicle services business.

The new financing combines equity and debt, although Hlpy hasn’t disclosed the split between the two components. The company will use the capital to fund growth and further strategic acquisitions across its European operations.

BNP Paribas BNL Equity Investments, or BBEI, has joined Hlpy’s shareholder base through the transaction. BBEI is part of BNP Paribas Group and specialises in minority investments in small and medium-sized Italian companies.

The investment gives Hlpy additional financial capacity for acquisitions as management expands beyond roadside assistance. The company’s services now cover vehicle assistance, repairs, maintenance and logistics, supported by its technology, data infrastructure and operational network.

Hlpy’s purchase of Carvoilà adds vehicle handling and logistics services to that offering. Financial terms of the acquisition weren’t disclosed, though Hlpy expects the transaction to contribute to its European business from 2026.

Carvoilà founders Francesca Vidali and Michela Conti will remain with the business after joining the Hlpy Group. Their focus will include extending Carvoilà’s operating model into European countries where Hlpy already provides vehicle services.

Those markets include France, Germany, Austria and Spain. Hlpy expects its existing network in those countries to support Carvoilà’s expansion beyond Italy while giving current customers access to a wider set of vehicle logistics services.

CEO Valerio Chiaronzi said the acquisition moves Hlpy closer to its goal of becoming a pan-European operator covering more stages of the vehicle service chain. The company’s platform now supports services before and after vehicle sales, including roadside assistance, repair work, maintenance and logistics.

The €20 mn financing and BBEI investment provide additional resources for organic expansion and acquisitions. Hlpy intends to use both routes as it increases its presence across Europe.

BBEI CEO Lorenzo Langella said the investment fits the firm’s strategy of backing companies operating in expanding sectors under experienced management teams. He said BBEI sees Hlpy as a technology company changing how roadside assistance and related vehicle services operate across Europe.

Carvoilà was established around digital management of vehicle transportation and logistics. Vidali said joining Hlpy gives the company access to a larger European network and provides a route into markets where the group already has established operations.

She said the companies share similar operating methods and see commercial opportunities across their respective customer relationships. Carvoilà will now develop its logistics business within Hlpy rather than operating as a separate independent platform.

The acquisition also broadens the type of automotive companies Hlpy addresses. Roadside assistance remains part of the business, but the group is extending its services across more of the period in which vehicles move between manufacturers, dealers, fleet operators, repair networks and customers.

Hlpy expects the enlarged service portfolio to improve operating efficiency by connecting assistance, maintenance and vehicle movement through the same digital infrastructure. Management also expects the broader offering to generate more business from existing relationships across its European network.

The company is working toward more than €100 mn in recurring revenue by 2027. Management said the Carvoilà acquisition moves Hlpy closer to that target by adding another service category and expanding the revenue available from current European markets.

Hlpy’s growth strategy now combines internal expansion with acquisitions of specialised vehicle service companies. The €20 mn hybrid financing gives the company additional funding for that approach as it develops its position across European roadside assistance, repair, maintenance and vehicle logistics.
